1. Acceptance of Terms

By subscribing to, accessing, or using Vialytix, LLC Software (“the Software”), you agree to be bound

by these Terms and Conditions and our Privacy Policy, available at Vialytix.com. If you do not agree,

do not use the Software.

2. Subscription and License

  • License Grant: Subject to these Terms, Vialytix, LLC grants you a limited, non-exclusive, non-transferable license to use the Software, subject to these Terms.

  • Subscription Plans: Subscription options are detailed at the time of purchase.

  • Account Responsibility: You are responsible for maintaining the confidentiality of your login

  • credentials and all activity under your account.

3. Payment and Billing

  • Fees: Subscription fees are billed annually, in advance, or as otherwise specified at the time of purchase.

  • Payment: Payment must be received prior to initial use or renewal of the Software.

  • Changes in Fees: We may change subscription fees with prior notice. Continued use after fee changes constitutes acceptance.

  • Refunds: Fees are non-refundable, except as required by law or otherwise explicitly stated.

4. Use of Software

  • Service Availability: Vialytix, LLC aims to provide continuous Service but does not guarantee uninterrupted or error-free operation.

  • Technical Support: Support is available to active subscribers at support@vialytix.com.5. Intellectual Property Rights

  • Ownership. All rights, title, and interest in and to the Software, including but not limited to all copyrights, trademarks, trade secrets, patents, and other intellectual property rights, are and shall remain the sole and exclusive property of Vialytix, LLC. This Agreement does not transfer to the User any ownership interest in or to the Software, but only a limited right of use as expressly set forth herein.

  • License Grant. Subject to the terms and conditions of this Agreement, Vialytix, LLC grants the User a non-exclusive, non-transferable, non-sublicensable, limited license to use the Software solely in accordance with this Agreement.

  • Restrictions. User shall not:

    • Copy, modify, adapt, alter, translate, or create derivative works from the Software;

    • Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Software;

    • Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices from the Software;

    • Use the software for unlawful, harmful or fraudulent activities;

    • Use the Software in any manner not expressly authorized under this Agreement.

  • Feedback. Any feedback, suggestions, or ideas provided by User regarding the Software may be used by Vialytix, LLC without obligation or compensation, and User hereby assigns to Vialytix, LLC all right, title, and interest in such feedback.

  • Demonstration and Display Rights. Customer may display or demonstrate the Software to third parties solely for the purposes of internal evaluation, training, or showcasing the Software’s functionality, provided that (a) such display does not involve distributing, sublicensing, selling, renting, or otherwise making the Software available for use by any third party; (b) all proprietary notices, trademarks, and copyright designations remain intact; and (c) such display does not enable any third party to copy, modify, reverse engineer, or otherwise gain independent access to the Software. Any other form of public display, exhibition, or disclosure of the Software requires the prior written consent of Vialytix, LLC.

6. Data and Privacy

  • User Data: You retain all ownership rights to any data you provide. By using the Software, you grant us a license to process such data for the purpose of, and including but not limited to, providing the Service and improving the Software.

  • Privacy Policy: Data collection and use are governed by our Privacy Policy, available at Vialytix.com.

7. Termination

  • By You: You may cancel your subscription at any time.

  • By Us: We reserve the right to suspend or terminate accounts that violate these Terms or for non-payment.

  • Effect of Termination: Upon termination, your right to access the Software will end immediately and data may be restricted or deleted per our Data Retention Policy which can be found at Vialytix.com.

8. Disclaimers and Limitation of Liability

  • “As Is” Basis: The Software is provided on an “as is” and “as available” basis without warranties of any kind, express or implied.

  • Liability Limitation: To the maximum extent permitted by law, Vialytix, LLC is not liable for direct, indirect, incidental, or consequential damages arising from use or inability to use the Software.

9. Indemnification

You agree to indemnify and hold harmless Vialytix, LLC, its affiliates, officers, directors, employees,

agents, and licensors from any and all claims, damages, or expenses arising from your use of, or in any

way connected to, your usage of the Software or violation of these Terms.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of

Delaware, without regard to its conflict of laws principles. Any claim, dispute, or proceeding arising out

of or relating to this Agreement shall be brought exclusively in Orange County, Florida, and the Parties

hereby consent to the jurisdiction and venue of such courts.

11. Modifications

We may update these Terms and Conditions from time to time. Continued use of the Software after

changes constitutes acceptance of the revised Terms.

Data Retention Policy

Data Retention Policy – Vialytix, LLC

1. Purpose

This policy establishes guidelines for how data collected through the use of our software is

stored, retained, and disposed of in a secure and compliant manner. It ensures that data is only

retained for as long as necessary to fulfill the purposes for which it was collected and to meet

legal and regulatory requirements.

2. Scope

This policy applies to all data collected, processed, or stored through the use of the software,

including but not limited to:

  • User account information

  • Usage logs and activity data

  • Support and communications data

  • Payment and transaction records (if applicable)

3. Data Categories and Retention Periods

  • Account Data (e.g., name, email, profile information): Retained for the duration of the account’s active status and at least 12 months after closure, unless required by law to retain longer.

  • Usage Data (e.g., logs, analytics, performance metrics): Retained for at least 12 months to improve product performance and support, after which it may be deleted.
